Terms of Service: Project and Change Management Risk Partner

1. Introduction
Welcome to SRA Global Pty Ltd ("we," "us," "our"). By engaging our Project and Change Management Risk Partner services, you agree to these Terms of Service. These terms govern your relationship with SRA Global Pty Ltd and the services provided. Please read them carefully.

2. Scope of Services
SRA Global Pty Ltd offers specialised risk management consultancy services, including but not limited to:

Participation in project or change management meetings as a risk specialist.

Risk assessments and documentation reviews.

Development of recommendations for mitigating risks and ensuring compliance.

Ongoing support for projects and organisational changes.
Services are customised to meet your specific requirements, as agreed in the initial engagement.
3. Engagement Terms
3.1 Service Agreement
A written proposal or agreement outlining the scope of work, pricing, and timeline will be provided before services commence. By accepting the proposal, you confirm your agreement to these Terms of Service.
3.2 Communication and Collaboration
You agree to provide timely access to relevant personnel, information, and documentation to facilitate the delivery of services. We are not liable for delays or outcomes resulting from insufficient access to these resources.
3.3 Modifications to Scope
Any modifications to the agreed scope of work must be requested in writing and may result in additional fees or adjusted timelines.
4. Fees and Payment
4.1 Pricing
Services are billed in Australian Dollar currency, at an hourly or daily rate, as specified in the agreed proposal:

Hourly Rate: $290.00

Daily Rate: $1,800.00
4.2 Invoices and Payment Terms
Invoices will be issued upon completion of milestones or monthly, depending on the engagement. Payment terms are strictly 14 days from the date of invoice, unless otherwise agreed.

4.3 Late Payments
We reserve the right to suspend services until outstanding payments are resolved.

5. Cancellation and Termination
5.1 Cancellation by Client
You may cancel services with at least 14 days' written notice. Any work completed up to the cancellation date will be invoiced and payable.
5.2 Termination by Orana Skills Centre
We reserve the right to terminate the engagement if:

You fail to provide required information or resources.

Payments are overdue beyond 30 days.

There is a breach of these Terms of Service.
6. Confidentiality
We are committed to maintaining the confidentiality of your business information. All documents, discussions, and shared resources will be treated with the highest level of discretion and used solely for the purposes of delivering the agreed services.
7. Intellectual Property
All materials, frameworks, and recommendations provided as part of our services remain the intellectual property of SRA Global Pty Ltd unless explicitly transferred in writing. You are granted a non-exclusive license to use these materials for internal purposes only.
8. Limitations of Liability
While we strive to deliver exceptional services, SRA Global Pty Ltd is not liable for:

Indirect, incidental, or consequential damages.

Outcomes resulting from decisions made by your organisation based on our recommendations.

Delays or interruptions caused by factors beyond our control.
Our maximum liability is limited to the total fees paid for the engagement.
9. Dispute Resolution
Any disputes arising from these Terms of Service will be resolved through negotiation in good faith.
10. Amendments
We reserve the right to update these Terms of Service at any time. You will be notified of significant changes, and your continued use of our services constitutes acceptance of the updated terms.
